| Woodward Acquires Ionization Feedback Specialist

Rockford, Ill., July 20, 2004 - Woodward Governor
Company (Nasdaq:WGOV) announced it has acquired the ionization feedback and
ignition specialist company, Adrenaline Research, Inc. Combustion control, part
of Woodward's systems integration strategy, helps our customers reduce
emissions and improve fuel efficiency. While the acquisition is not material in
terms of earnings impact, Woodward expects the acquisition of Adrenaline
Research and its technology to contribute to our combustion control strategy.
Using its global resources and energy control expertise, Woodward will continue
providing SmartFire® products and technology to the global racing, testing
and OEM markets. "SmartFire® technology is currently used at the
highest levels of racing, dynamometer testing and automotive development around
the world," said Ed VanDyne, Woodward's new director of advanced
combustion controls (formerly Adrenaline's president). "Our commitment to
quality, service and cutting edge technology will be enhanced greatly by the
synergy within Woodward. Now, we can provide even better engine control
products to our global customers.
"SmartFire® technology delivers both a high-energy spark when needed
and combustion feedback for knock and misfire detection. In the future, this
technology will allow engines to be tuned up while running.
"By using the spark plug as a sensor, SmartFire® technology enables
advanced in-cylinder combustion analysis," said VanDyne. "At
Woodward, the technology will be incorporated into advanced control systems so
aircraft and industrial engines can operate with lower emissions and improved
fuel efficiencies."
